This Seller Agreement governs the commercial relationship between you (the "Seller") and Aron & Sharon when you list a Company for sale on the Paperclip Community marketplace.

It is incorporated by reference into the [Terms of Service](./terms-of-service.md) and supplements the [Companies Terms](./companies-terms.md). In the event of a conflict between this Seller Agreement and the Companies Terms with respect to the commercial relationship around a paid Company, this Seller Agreement prevails. In all other respects (ownership, lineage, content policy, takedown), the Companies Terms prevail.

You must affirmatively accept this Seller Agreement the first time you toggle a Company's listing state to forsale. Acceptance is recorded against your account. You will be re-prompted on each version change.

Definitions

"Seller" means you, the Paperclip Community account holder who lists a Company for sale. "Buyer" or "Licensee" means a Paperclip Community account holder who purchases a listed Company. "Listing" means the marketplace page, price, seat structure, description, and any update or support commitments under which a Company is offered for sale. "Purchase Record" means the Platform's record that a Buyer has paid for a Listing, including the seat or organisation count granted. "MoR" means merchant-of-record. Aron & Sharon acts as MoR for sales made through the Paperclip Community marketplace, as described in §3. "PCCL-1.0" means the Paperclip Community Commercial Licence (Companies Terms §5A). "Net Revenue" means the gross price paid by the Buyer for a Purchase Record, less (i) payment-processor fees actually incurred by Aron & Sharon for that transaction, (ii) refunds and chargebacks, and (iii) any sales, value-added, or equivalent transaction taxes Aron & Sharon is required to remit on the sale.

Capitalised terms not defined here have the meaning given in the Companies Terms or the Terms of Service.
