Buyer Terms

These Buyer Terms govern your purchase of Companies listed for sale on the Paperclip Community marketplace.

They are incorporated by reference into the [Terms of Service](./terms-of-service.md) and supplement the [Companies Terms](./companies-terms.md). The intellectual property licence you receive when you purchase a Company is set out in Companies Terms §5A (the Paperclip Community Commercial Licence, "PCCL-1.0"). These Buyer Terms govern the commercial relationship around that purchase: how you pay, what your refund and dispute rights are, and what happens when the Listing changes after you bought it.

You must affirmatively accept these Buyer Terms the first time you complete a purchase. Acceptance is recorded against your account. You will be re-prompted on each version change.

Who you are buying from

Each Company on the marketplace is authored by a Paperclip Community user (the "Seller"). Aron & Sharon acts as merchant-of-record ("MoR") for sales of Companies through the marketplace, under Companies Terms §2.2(c) and the [Seller Agreement](./seller-agreement.md).

This means:

Your contract for the sale of the Company — the payment, the invoice, the refund handling, the tax treatment — is with Aron & Sharon. The intellectual property licence (PCCL-1.0) that authorises you to view, clone, remix, export, and use the Company flows from Seller to you, with Aron & Sharon's authority as authorised reseller under §2.2(c) of the Companies Terms. Aron & Sharon is responsible for processing your payment, calculating and remitting transaction taxes where required, issuing your invoice, and administering refunds and disputes. Seller is responsible for the substantive content, fitness, and performance of the Company, on the terms of PCCL-1.0 §5A.3 and the Listing.
